Terms of Platform Use

These Terms of Platform Use (“Terms”) govern your use of the Tourism Development Council (TDC) platform (“Platform”). By accessing or using the Platform, you agree to comply with these Terms. If you do not agree with these Terms, you may not use the Platform.

1. Access to the Platform: a. Eligibility: You must be at least 18 years old to use the Platform. If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the necessary authority to bind that organization to these Terms. b. Account Registration: To access certain features of the Platform, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account credentials confidential. c. Account Responsibility: You are solely responsible for all activities that occur under your account. You must notify TDC immediately of any unauthorized use or breach of security.
2. Use of the Platform: a. Permitted Use: You may use the Platform for lawful purposes and in accordance with these Terms. You may not use the Platform in any way that violates applicable laws or regulations or infringes upon the rights of others. b. Prohibited Conduct: You agree not to: i. Use the Platform in a manner that could disable, overburden, or impair the functioning or security of the Platform; ii. Attempt to gain unauthorized access to any part of the Platform or its related systems or networks; iii. Use any automated means or engage in any systematic data collection activities without prior written consent from TDC; iv. Transmit or upload any material that contains viruses, malware, or other harmful code; v. Impersonate any person or entity or misrepresent your affiliation with any person or entity.
3. Intellectual Property: a. Ownership: The Platform and its content, including but not limited to text, graphics, logos, images, and software, are the property of TDC or its licensors and are protected by intellectual property laws. b. Limited License: TDC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Platform without TDC’s prior written consent.
4. User Content: a. License: By submitting or posting any content on the Platform, you grant TDC a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable right to use, reproduce, modify, adapt, publish, distribute, and display such content for the purposes of operating and improving the Platform. b. Responsibility: You are solely responsible for the content you submit or post on the Platform. You represent and warrant that you have all necessary rights to grant the above license and that your content does not infringe upon the rights of any third party.
5. Third-Party Links and Content: The Platform may contain links to third-party websites or display content from third parties. TDC is not responsible for the accuracy, reliability, or content of any third-party websites or content. Your use of such third-party websites or content is at your own risk.
6. Disclaimer of Warranties: The Platform is provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied. TDC does not warrant that the Platform will be uninterrupted, error-free, or secure.
7. Limitation of Liability: TDC and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential or punitive damages arising out of or in connection with your use of the Platform, even if TDC has been advised of the possibility of such damages. In no event shall TDC’s total liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the amount you have paid, if any, to TDC for accessing the Platform.
8. Indemnification: You agree to indemnify, defend, and hold harmless TDC and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any rights of any third party.
9. Modification or Termination of Platform: TDC reserves the right to modify, suspend, or terminate the Platform or your access to it at any time, for any reason, without prior notice. TDC shall not be liable to you or any third party for any modification, suspension, or termination of the Platform.
10. Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where TDC is located. Any legal action or proceeding arising out of or relating to these Terms or the Platform shall be exclusively brought in the competent courts of that jurisdiction.
11. Entire Agreement: These Terms constitute the entire agreement between you and TDC regarding your use of the Platform and supersede any prior agreements or understandings, whether oral or written.
12. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
13. Waiver: The failure of TDC to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
